These Terms & Conditions (“Terms”) govern your access to and use of TenderCircle (the “Service”), including websites, applications, checkout, and related interfaces operated by LoadCircle Ltd (Company No. 16956262), registered in England & Wales (“LoadCircle”, “we”, “us”, “our”). By registering, subscribing, using the Service, or clicking to accept at checkout, you agree to these Terms. If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, Fair Use Policy, and Disclaimer (together, the “Policies”). In the event of conflict, these Terms prevail on subscription and liability; the Privacy Policy prevails on personal data processing.

Introduction and acceptance

You may access the Service only in accordance with these Terms and applicable law. By using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity. Electronic acceptance (including at checkout or account creation) has the same effect as a signed agreement where permitted by law.

Definitions

“Content” means text, data, graphics, notices, summaries, scores, and other materials made available through the Service, including outputs generated for you. “User Content” means information you submit (e.g. profile, company details). “Public-sector notices” means information sourced from official or public procurement channels, not controlled by LoadCircle.

Eligibility, accounts and registration

You must be at least 18 years old and use the Service for bona fide business purposes. You must provide accurate, complete, and current registration and billing information. You are responsible for all activity under your credentials and for maintaining their confidentiality. You must notify us promptly of unauthorised access. We may require verification of identity or business details for fraud prevention or compliance.

Description of the services

TenderCircle provides tools to discover and assess public-sector opportunities, including capability-aligned matching and advisory-style insights. The Service is decision-support only. We do not guarantee awards, eligibility, or completeness of notices; we do not provide regulated legal or procurement advice; we do not submit bids or expressions of interest for you. The Service is not affiliated with HM Government, GOV.UK, the NHS, or any public authority. Contracting authorities and their portals remain authoritative for deadlines, specifications, and submission requirements.

Subscriptions, fees and payment

Subscriptions are offered online and may be processed by Stripe (or another payment processor we designate). Fees, currency, taxes (e.g. VAT where applicable), and billing interval are shown at checkout or in your account. You authorise recurring charges until you cancel in accordance with these Terms.

You may cancel through your billing portal or account controls where available. Cancellation typically takes effect at the end of the current paid period. Refunds are not guaranteed except where required by law or expressly stated at checkout. We may change subscription fees or plans with reasonable notice; continued use after the effective date may constitute acceptance.

Failed or disputed payments may result in suspension of access until resolved. Chargebacks or payment abuse may result in account closure and additional verification.

Fair use of the service

You agree to use the Service fairly and proportionately. Resource limits, rate limits, seat limits, and usage caps may apply by plan. Detailed rules are set out in our Fair Use Policy, which forms part of your agreement. Breach of the Fair Use Policy may result in throttling, suspension, or termination.

Acceptable use and prohibited conduct

You must not: (i) scrape, harvest, or bulk-extract data except through intended product features; (ii) use unauthorised automation, bots, or scripts to access or download data without our prior written consent; (iii) probe, scan, or test vulnerabilities without authorisation; (iv) reverse-engineer, decompile, or attempt to extract non-public models, algorithms, or source code; (v) circumvent technical limits, subscription tiers, or security controls; (vi) create multiple accounts to evade bans, limits, or pricing; (vii) resell, republish, or redistribute the Service or its outputs as a standalone data product without permission; (viii) misrepresent outputs as your own proprietary analysis or mislead third parties about your capability; (ix) interfere with or degrade the Service for others; (x) use the Service unlawfully, including in breach of procurement or sanctions rules; (xi) upload malware or unlawful content; or (xii) harass, defraud, or harm others.

Intellectual property rights

We and our licensors own all rights in the Service, software, branding, and our Content (excluding Public-sector notices and your User Content). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during an active subscription. You obtain no ownership rights. You must not copy, modify, distribute, or create derivative works from our software or materials except as permitted by law.

Third-party notices, data and links

Public-sector notices and metadata may originate from third-party or official sources. We do not control their accuracy, completeness, or timeliness. Third-party sites and tools (including Stripe and buyer portals) are subject to their own terms. You are responsible for verifying critical information before bidding.

Suspension, termination and refusal of service

We may suspend, restrict, or close your account where reasonably necessary to investigate suspected breach, fraud, or security issues; to protect users, the platform, or infrastructure; to comply with law; or to cease providing the Service to you (including for commercial or operational reasons, with notice where practicable). We may act without prior notice where misuse is severe, repeated, or intentional, or where notice would frustrate investigation or harm others.

On termination for breach or misuse, no refund or credit is owed except where required by law. You remain liable for fees incurred up to termination. We may refuse new registrations from email domains, individuals, organisations, or technical identifiers (including IP addresses and device identifiers) associated with prior abuse, suspension, or termination, where proportionate and as described in our Privacy Policy.

Security, abuse prevention and technical data

We may collect and process technical data including IP addresses, device or browser identifiers, timestamps, session and security logs, and anti-abuse signals to operate secure services, detect fraud, enforce these Terms and the Fair Use Policy, and prevent re-registration after abuse. Processing is described in our Privacy Policy. Payment card data is handled by Stripe.

Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant uninterrupted or error-free operation. See also our Disclaimer.

Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded under English law.

Subject to that, we are not liable for: (i) loss of profits, revenue, goodwill, or business; (ii) loss of or corruption of data; (iii) indirect or consequential loss; (iv) decisions you make based on the Service; or (v) errors in third-party or official notices. Our total aggregate liability for claims arising in connection with the Service in any twelve-month period is limited to the fees you paid to us for TenderCircle in that period (or, if none, £100), except where prohibited by law.

Indemnity

You will indemnify and hold harmless LoadCircle Ltd and its officers, directors, and employees against reasonable losses, damages, and costs (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or infringement of third-party rights by your User Content or conduct, except to the extent caused by our wilful misconduct or gross negligence.

Privacy, cookies and marketing communications

Personal data is processed as described in our Privacy Policy. Cookies and similar technologies are described in our Cookie Policy. Marketing communications are sent in accordance with UK PECR and your preferences. You may opt out of non-essential communications where applicable.

Changes to these Terms, general provisions and contact

Changes. We may update these Terms from time to time. We will post the current version on this website and may notify you by email or in-product. Continued use after the effective date may constitute acceptance, except where your explicit consent is required by law.

Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control.

Severability. If any provision is invalid, the remainder remains in effect.

Entire agreement. These Terms and the Policies constitute the entire agreement regarding the Service, superseding prior understandings on the same subject.

No waiver. Failure to enforce a provision is not a waiver.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a business transfer.

Notices. Contractual notices to LoadCircle Ltd may be sent to help@tendercircle.co.uk unless we publish a different address for notices on this website.

Governing law and jurisdiction. These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to mandatory protections for consumers where applicable.
